1. Who we are
Smart SEO Audit is an online SEO auditing service operated from Switzerland and available at smartseoaudit.com ("we", "us", "our", or "Smart SEO Audit"). You can reach us at [email protected] for any question about these terms or your account.
The entity behind Smart SEO Audit is established in Switzerland. Full company details will be published on this page once the legal entity is registered. Until then, contractual disputes are handled directly with the operator.
2. Accepting these terms
By creating an account, signing up for a plan, or otherwise using Smart SEO Audit, you confirm that:
- You have read and agreed to these Terms of Service
- You have read and agreed to our Privacy Policy
- You are at least 16 years old (or the age of digital consent in your country)
- If you are using the service on behalf of a company, you have the authority to bind that company to these terms
If you do not agree, please do not use the service.
3. The service
Smart SEO Audit provides an online platform for analysing websites for search engine optimisation. This includes technical, on-page and content-level audits, AI-generated recommendations, scheduled rechecks, notifications, and related features, as described on our features page.
What you get depends on your plan. Plan details, limits and features are listed on our pricing page and may be updated from time to time.
Who the service is for
Smart SEO Audit is designed for both individual consumers (freelancers, hobbyists) and business users (agencies, in-house teams, companies). Some provisions of these terms apply differently depending on whether you are a consumer or a business user, as noted where relevant.
4. Your account
To use most features of Smart SEO Audit, you need to create an account. By creating an account, you agree to:
- Provide accurate, current and complete information
- Keep your password secure and confidential
- Notify us immediately at [email protected] if you suspect unauthorised access to your account
- Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts that violate these terms (see Termination).
5. Acceptable use
You agree not to use Smart SEO Audit to:
- Audit websites you do not own or do not have authorisation to audit on behalf of the owner
- Circumvent rate limits, plan restrictions, or technical protections
- Reverse-engineer, scrape, or systematically extract data from the service beyond the documented API
- Use the service to launch attacks against third-party websites (DDoS, aggressive crawling, etc.)
- Upload, submit or process content that is illegal, infringing, malicious, or violates anyone's rights
- Resell or white-label the service outside the scope of plans that explicitly permit this (Agency plan)
- Interfere with the integrity or performance of the service for other users
- Attempt to gain unauthorised access to any part of the service or related systems
SEO audits send requests to the website being audited. You are responsible for ensuring you have permission to audit each site you submit. Auditing a competitor's site is generally acceptable (it generates minimal traffic), but auditing a site you've been asked to leave alone, or that has rate-limited you, is not.
6. Plans & payments
Free plan
The Free plan is available at no cost and includes the features listed on our pricing page. Usage limits apply. The Free plan may be modified or discontinued at our discretion, though we will give at least 30 days' notice before any material change.
Paid plans
Paid plans are billed in advance on a monthly or annual basis, in US dollars (USD), through our payment processor Stripe. Prices are listed on the pricing page and exclude applicable taxes (VAT, sales tax) where required by law.
Renewal
Subscriptions renew automatically at the end of each billing cycle unless cancelled. You can cancel at any time from your account settings. Upon cancellation, your subscription remains active until the end of the current billing period, after which it is not renewed.
Price changes
We may change the prices of our plans. Price changes apply to new subscriptions immediately and to existing subscriptions from the next billing cycle after notice. We will give you at least 30 days' notice by email before any price increase affects your subscription. If you don't accept the new price, you can cancel before the change takes effect.
Taxes
Prices are shown exclusive of VAT where applicable. VAT is calculated based on your billing address and added at checkout. If you are a business customer with a valid VAT ID, reverse charge may apply where permitted by EU law.
Late or failed payments
If a payment fails, we will attempt to re-charge your payment method. If payment continues to fail for more than 14 days, we may suspend access to paid features until payment is resolved. Your data is retained during this period.
7. Right of withdrawal & refunds
If you are a consumer in the EU, EEA or Switzerland, you have the right to withdraw from any paid subscription within 14 days of signup without giving any reason. To exercise this right, email us at [email protected] with the subject "Withdrawal" and include your account email. We will refund the full amount paid within 14 days of receiving your withdrawal notice.
Waiving the right of withdrawal
If you want to start using the paid features of Smart SEO Audit immediately, you will be asked to confirm that you want the service to begin before the 14-day withdrawal period ends and that you acknowledge you will lose the right of withdrawal once the service has been fully provided. This is required by EU and Swiss consumer protection law for digital services.
If you do not waive the right of withdrawal, you can still use the Free plan during the 14-day period. Paid features become active only after the withdrawal period expires or after you explicitly waive the right.
Goodwill refunds
Beyond the statutory 14-day right of withdrawal, we evaluate refund requests on a case-by-case basis. We are generally willing to refund unused time in reasonable circumstances (billing error, extended service outage, duplicate subscription, significant bug that prevented you from using the service). Send refund requests to [email protected].
Goodwill refunds are at our discretion and do not create an entitlement to future refunds.
Business customers
If you are a business customer (you signed up using a company name and/or VAT ID), the statutory 14-day right of withdrawal under EU/Swiss consumer law does not apply. Refund requests from business customers are handled under the goodwill policy described above.
8. Cancellation
You can cancel your subscription at any time:
- Log in to your account
- Go to Settings → Billing
- Click "Cancel subscription"
Your paid access continues until the end of the current billing period. We do not pro-rate refunds for cancellations within a billing period unless covered by the withdrawal right or goodwill policy above.
After cancellation, your data is retained for 90 days in case you want to reactivate. After 90 days, personal data is deleted as described in our Privacy Policy.
9. Your content & data
You own your content
The URLs you submit, the audits you run, the reports you generate, and any data you upload remain your property. We do not claim ownership over any of it.
Licence to operate the service
To provide the service, you grant us a limited, non-exclusive, worldwide licence to host, store, process and display your content solely for the purpose of operating Smart SEO Audit for you. This licence ends when you delete the content or close your account.
Your responsibility for submitted content
You are responsible for the content you submit. You confirm that:
- You have the right to submit the URLs and data for auditing
- The content does not violate any law or third-party right
- The content does not contain malware, illegal content, or personal data of third parties that you are not authorised to process
Aggregated & anonymous statistics
We may use aggregated, anonymous data derived from audits (such as overall statistics about common SEO issues) to improve the service and for publishing insights. Aggregated data cannot be linked back to you or to any specific website you audited.
10. Our intellectual property
Smart SEO Audit — including the software, design, branding, content on our website, documentation, and logos — is owned by us or our licensors and is protected by intellectual property law. Your subscription grants you the right to use the service for its intended purpose, but does not transfer any ownership rights.
You may not:
- Copy, modify or create derivative works of the software
- Use our name, logo or branding without prior written permission (except as permitted in our affiliate program or plan features such as branded reports)
- Remove or alter any proprietary notices from the service
11. Third-party services
Smart SEO Audit integrates with third-party services to deliver specific functionality:

You may also integrate Smart SEO Audit with external services (Slack, Discord, Microsoft Teams, webhooks, etc.) for notifications. Your use of those services is governed by their own terms.
12. Service availability
We work hard to keep Smart SEO Audit available 24/7, but we do not guarantee uninterrupted service. The service may be temporarily unavailable for:
- Scheduled maintenance (announced in advance where possible)
- Emergency fixes or security updates
- Outages caused by third-party providers (hosting, payment processor, internet infrastructure)
- Force majeure events (natural disasters, legal requirements, infrastructure failures beyond our control)
We will use reasonable efforts to minimise downtime and communicate about significant outages on our status page and via email where appropriate.
13. Warranties & disclaimers
We provide Smart SEO Audit with reasonable skill and care and will do our best to make sure it works as described. Beyond that, to the maximum extent permitted by applicable law:
- The service is provided "as is" and "as available"
- We do not warrant that the service will be uninterrupted, error-free, or meet every specific requirement you may have
- We do not guarantee any specific ranking, traffic, or SEO outcome — Smart SEO Audit is a tool that surfaces technical findings; results depend on how you act on them and on factors outside our control (search engine algorithms, competitor activity, content quality)
- AI-generated recommendations are produced by automated systems and may contain errors or omissions — you should review them before acting
Nothing in this section limits any statutory warranty or consumer protection right you have as a consumer under Swiss law, EU law, or the law of your country of residence. Statutory guarantees (Sachmängelgewährleistung, garantie légale de conformité) apply in full where the law requires them.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- Our total liability to you arising from or relating to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim
- We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, loss of goodwill, or lost ranking positions
- We are not liable for damages caused by third-party services (Stripe, OpenAI, Hostpoint, notification integrations) or by events outside our reasonable control
The limitations above do not apply to: (a) damages caused by our intentional misconduct or gross negligence, (b) damages to life, body or health caused by us, (c) any liability that cannot be limited or excluded under applicable law. For consumers, mandatory statutory liability under Swiss OR Art. 100, EU Directive 1999/44/EC, or equivalent local law remains unaffected.
15. Termination
Termination by you
You can stop using the service at any time by cancelling your subscription and/or deleting your account from your account settings.
Termination by us
We may suspend or terminate your access to the service if:
- You materially breach these terms and do not fix the breach within 14 days of our notice
- You use the service in a way that threatens the integrity or security of the platform or other users
- You fail to pay for 30+ days after a payment failure
- We are legally required to terminate the service
In cases of serious breach (illegal content, security attack, fraud), we may terminate immediately and without notice.
After termination
Upon termination, your access to paid features ends. Your data is retained for 90 days during which you can request an export or reactivation. After 90 days, personal data is deleted as described in our Privacy Policy, except where retention is required by law.
16. Changes to these terms
We may update these terms from time to time to reflect changes in the service, legal requirements, or best practices. When we make a material change, we will:
- Update the "Effective" date at the top of this page
- Notify registered users by email at least 30 days before the change takes effect
- For existing paid subscriptions, the previous terms continue to apply until the next billing cycle
If you do not agree with the new terms, you can cancel your subscription before they take effect. Continued use of the service after the effective date means you accept the updated terms.
17. Governing law & jurisdiction
These terms and any dispute arising from them are governed by the substantive law of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Jurisdiction
The exclusive place of jurisdiction for any dispute is Solothurn, Switzerland.
Consumer protection (important)
If you are a consumer residing in the EU, EEA, the UK, or a country with mandatory consumer protection law:
- Your mandatory consumer rights under the law of your country of residence are not affected by the choice of Swiss law above
- You have the right to bring proceedings against us in the courts of your country of residence
- We may also bring proceedings against you only in the courts of your country of residence
Online dispute resolution (EU consumers)
If you are a consumer in the EU, the European Commission provides an online dispute resolution platform available at ec.europa.eu/consumers/odr. We are not obliged and do not commit to participating in alternative dispute resolution procedures before a consumer arbitration board, but we are happy to try to resolve any dispute directly first.
