01 Acceptance of Terms

These Terms of Service ("Terms") form a binding legal agreement between you ("you", "your", "Customer") and Smart SEO Audit ("we", "us", "our", "Smart SEO Audit"). They govern your access to and use of the Smart SEO Audit website, applications, APIs and related services (collectively, the "Service").

By registering an account, accessing the Service, or clicking "I agree", you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.

02 Definitions

For clarity, the following terms have the meanings set out below:

• "Account" means your registered user profile on the Service.
• "Audit" means any SEO analysis run through the Service against a URL, sitemap, list of URLs, or raw HTML you submit.
• "Subscription" means a paid plan that grants access to specific features and audit volumes.
• "User Content" means any data you submit to the Service, including URLs, sitemaps, raw HTML, account details and audit history.
• "Fees" means the amounts charged for Subscriptions, as listed on our pricing page.

03 Account & Eligibility

Eligibility

To use the Service, you must be at least 16 years old and have the legal capacity to enter into binding contracts in your jurisdiction. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Account registration

You agree to provide accurate, current and complete information when creating your Account, and to keep that information up to date. You are responsible for all activity that occurs under your Account.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your Account. Notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your Account that you fail to report promptly.

04 Subscription & Billing

Plans

The Service is offered under various Subscription plans (Free, Starter, Professional, Agency), each with different audit limits and features. Current plan details are listed on our pricing page.

Billing cycle

Paid Subscriptions are billed in advance on a monthly or annual basis, depending on the cycle you select. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Payment

You authorize us (and our payment processor) to charge your payment method for all applicable Fees. If a payment fails, we may suspend or terminate your access until the outstanding amount is settled.

Pricing changes

We may change Subscription pricing from time to time. For existing paid Subscribers, any price increase takes effect at the next renewal and we will provide at least 30 days' notice via email or in-app notification.

Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, duties or government charges associated with your Subscription.

05 Free Plan

The Free Plan allows you to run a limited number of audits per month at no cost. We may change the limits, features or availability of the Free Plan at any time, with reasonable notice. The Free Plan is provided "as is" and we make no commitments regarding its continued availability.

06 Refunds

All Fees are non-refundable except where required by applicable law. As a courtesy, we may grant a full or partial refund within 14 days of your first paid Subscription if the Service materially fails to function as advertised. Cancellations after this window stop future charges but do not entitle you to a refund of the current billing period.

07 Acceptable Use

You agree not to, and not to permit any third party to:

• use the Service to audit websites or systems that you do not own or do not have explicit authorization to audit;
• use the Service for unlawful, harassing, defamatory, deceptive or fraudulent purposes;
• reverse engineer, decompile, disassemble or attempt to derive source code from the Service, except to the extent permitted by law;
• scrape, copy or otherwise extract data from the Service except via official APIs and within rate limits;
• resell, sublicense or redistribute access to the Service unless explicitly permitted under your Subscription tier;
• upload or transmit malware, viruses, or any code designed to disrupt the Service or any third party;
• interfere with, overload or attempt to circumvent the security or rate-limiting features of the Service;
• use automated tools to create accounts, generate fake traffic or artificially inflate audit counts;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violations may result in immediate suspension or termination of your Account, and we may report serious violations to the relevant authorities.

08 Your Content & Audit Data

Ownership

You retain all rights to the User Content you submit to the Service. We do not claim ownership of your URLs, HTML, audit history or related data.

License to operate the Service

By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit and display that content solely for the purpose of providing, securing and improving the Service for you.

Authorization

You represent and warrant that you have all necessary rights and permissions to submit any URL or HTML to the Service. You are solely responsible for ensuring that auditing a given website does not violate any third-party terms or applicable law.

Data retention

Audit history is retained as long as your Account remains active, subject to plan limits. Upon Account deletion, audit data is permanently removed within 30 days, except where retention is required by law.

09 AI-Generated Insights

The Service may use artificial intelligence to generate prioritized recommendations, fix suggestions and other insights based on audit results. AI-generated content:

• is provided for informational purposes only and is not professional advice;
• may contain errors, omissions or outdated information;
• should be reviewed by a qualified person before being acted on;
• does not guarantee any specific SEO outcome, ranking improvement or traffic result.

You acknowledge that you use AI-generated insights at your own discretion and risk.

10 Intellectual Property

The Service, including its source code, design, logos, trademarks, documentation, and all underlying technology, is owned by Smart SEO Audit or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive and non-transferable right to access and use the Service for its intended purpose.

You may not use our trademarks, logos or trade dress without our prior written consent. Any feedback or suggestions you provide may be used by us without obligation or compensation to you.

11 Service Availability & Modifications

We aim to maintain high availability of the Service and target an uptime of 99.9%, measured monthly and excluding scheduled maintenance. However, we do not guarantee uninterrupted access and we are not liable for downtime, delays, or failures caused by circumstances beyond our reasonable control.

We may modify, suspend or discontinue any feature of the Service at any time. For material changes that adversely affect paid Subscribers, we will provide reasonable advance notice via email or in-app notification.

12 Termination

By you

You may cancel your Subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. You may delete your Account at any time, subject to data-retention obligations described in Section 8.

By us

We may suspend or terminate your Account immediately, with or without notice, if you breach these Terms, fail to pay Fees, or engage in conduct that we reasonably believe poses a risk to the Service, our other customers, or third parties.

Effect of termination

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 8, 10, 13–17) will continue to apply.

13 Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted operation.

We do not warrant that the Service will meet your requirements, that audit findings will be free of errors, or that use of the Service will result in any specific SEO improvement, ranking change or traffic outcome. SEO results depend on many factors outside our control.

14 Limitation of Liability

To the maximum extent permitted by law, in no event shall Smart SEO Audit, its affiliates, officers, employees or partners be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including but not limited to loss of profits, revenue, data, goodwill or business opportunities, arising from or related to your use of the Service.

Our total aggregate liability arising out of or in connection with these Terms or the Service, regardless of the form of action, shall not exceed the greater of (a) the amount of Fees paid by you to us in the twelve (12) months preceding the event giving rise to the liability, or (b) CHF 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

15 Indemnification

You agree to indemnify, defend and hold harmless Smart SEO Audit and its affiliates, officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

16 Changes to These Terms

We may update these Terms from time to time. For non-material changes (such as clarifications or formatting), the updated Terms take effect immediately upon publication. For material changes, we will provide at least 30 days' notice via email or in-app notification before they take effect.

Your continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service before the changes take effect.

17 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Solothurn, Switzerland, subject to any mandatory consumer protection rights you may have in your country of residence.

18 Miscellaneous

Entire agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Smart SEO Audit regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be replaced by an enforceable provision that most closely reflects the original intent.

No waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force majeure

Neither party is liable for failure to perform under these Terms due to causes beyond reasonable control, including natural disasters, war, terrorism, civil unrest, internet outages, or acts of government.
